About this tool

Shows the date to set up and file the Real Beneficiary and partners registers, the date to report a change, who counts as a Real Beneficiary, and the fines, from the official Cabinet Resolutions.

Who must keep the registers

Every legal person licensed or registered in the UAE, on the mainland or in a non-financial free zone, must keep a Real Beneficiary Register and a register of partners or shareholders, and file them with the Registrar (Cabinet Resolution No. 109 of 2023, Articles 3, 8, 10 and 11; Cabinet Resolution No. 132 of 2023, Article 2). Companies in the financial free zones, companies wholly owned by the Federal or a Local Government (and their wholly owned companies) are outside this Resolution (Article 3(2)).

Who is a Real Beneficiary

A natural person who owns or controls, directly or through a chain of ownership, 25% or more of the capital or the voting rights, or who can appoint or remove most of the directors. If no one meets this, it is the person who controls the company in another way; if there is still no one, the person in Senior Management (Article 5).

Deadlines

Set up both registers and file them within 60 days of licensing (Articles 8(1) and 11(1)). Report any change within 15 days (Articles 8(1), 10(1) and 15(2)). Give the Registrar extra data within 14 days of a request (Article 11(2)). A liquidator hands the data over within 30 days, and records are kept for 5 years (Article 11(7) and (8)).

Worked example: a company licensed on 1 November 2026 files its registers by 31 December 2026. A new shareholder on 20 November 2026 is reported by 5 December 2026.

Fines

Cabinet Resolution No. 132 of 2023 sets a written notice for the first violation, then fines for the second and third, such as AED 50,000 and AED 100,000 for not creating the register. After the third violation the licence can be suspended (Article 3(2)). A decision can be appealed within 30 days (Cabinet Resolution No. 109 of 2023, Article 19).

Whether a deadline falling on a weekend or public holiday moves is shown as "Being verified". The Arabic texts govern. This is general information, not legal advice.
