About this tool
Shows the AGM deadline and the due dates for Form-A, the financial statements and Form-9 from the Companies Act, 2017, with the maximum penalties.
The AGM: 120 days after the financial year
Every company except a single member company holds its annual general meeting within 120 days after the end of its financial year, and its first one within 16 months of incorporation (Companies Act, 2017, section 132). For a year ending 30 June that is 28 October. The registrar (the Commission for a listed company) may extend it by up to 30 days for a special reason.
Annual return: Form-A, 30 days after the AGM
Each year the company files an annual return made up to the date of the AGM, within 30 days of the meeting. If no AGM is held or it is not concluded, the return is made up to 31 December and filed within 30 days, by 30 January (section 130). Under the Companies Regulations, 2024 this is Form-A for every company: the old Form A (share capital) and Form B (no share capital) of the 2018 Regulations are gone. If nothing has changed since the last return, a single member company or a private company with paid-up capital of up to Rs 3 million files nothing; any other company files Form-24 instead (section 130(5)).
Financial statements
After the AGM adopts them, the financial statements are filed within 30 days for a listed company and 15 days for any other company. A private company with paid-up capital of up to Rs 10 million does not file them (section 233).
Directors and officers: Form-9, 15 days after a change
A company files Form-9 within 15 days of appointing a director, chief executive, company secretary, chief financial officer, auditor or legal adviser, or of any change among them or in their particulars (section 197(3); regulation 50). Form-9 replaced the old Form 29.
Penalties (section 479)
A late AGM, annual return or financial statements is a level 1 offence (level 2 for a listed company); a late Form-9 is level 1. Level 1 is up to Rs 25,000 plus up to Rs 500 a day while the default continues; level 2 is up to Rs 500,000 plus up to Rs 1,000 a day. These are maximums, set after a show-cause notice.
Worked example: a private company with paid-up capital over Rs 10 million, year ended 30 June 2026. AGM by 28 October 2026. AGM held on 20 October 2026: Form-A by 19 November 2026 and financial statements by 4 November 2026. A new director appointed on 1 November 2026: Form-9 by 16 November 2026.
We have not found a rule that moves a deadline falling on a weekend or public holiday, so the tool shows the plain date. Filing fees are not covered. This is general information, not legal advice.
